
BOARD OF DIRECTORS OVERVIEW
This survey is designed for Directors to examine and assess how they are functioning individually as Directors and collectively as a Board.
Each Director takes this online survey individually and privately. All responses are held in strictest confidence. The data are aggregated, analyzed and reported without individual identification.
On completion of the survey, a Report of Findings is issued. The Report of Findings includes data analysis presented both as graphics and text.
The analysis is then reviewed in a one and one-half hour, facilitated conference call with either the Chair only, the Chair and CEO, a select Board task team or the entire Board.
The data from the Report will demonstrate how Directors interrelate, how well the Board directs the CEO, and how the Board is fulfilling its duties as a governance body.
If the CEO does not sit on the Board, we recommend that he or she complete the survey. That will reveal any discrepancies between the Board's visions and methods and those of the CEO. If requested, we can issue a second report of findings comparing the CEO’s scores against the Board’s.
We suggest the Board and CEO take this survey twice during the first year and then once a year thereafter. It is an efficient, powerful and economical way to assess your Board's effectiveness on an ongoing basis. We also advise your Board to use the survey to set clearer, better-defined goals, which will generate better Board performance and business outcomes for your enterprise.
Utilizing this survey is a simple and reliable way to build consistent measurement into Board processes for quality assurance. It's one way to demonstrate to your stakeholders and stockholders and regulatory bodies how your Board is performing, where it has improved and what it is working on to get better.
