CALL FOR NOMINATIONS FOR AABA BOARD ELECTIONS 2008-2009 The 2008-2009 Nominating Committee of the Asian American Bar Association of Greater Chicago invites you to become a more active and involved member of our association! Pursuant to Article VIII, Section 2 of the AABA By-Laws, the Nominating Committee (hereinafter "Committee") hereby invites nominations for consideration by the Committee through 5:00 p.m., Friday, April 18, 2008. The Committee will hold a General Meeting on Wednesday, April 9, 2008, 6:00 p.m. at McAndrews Held and Malloy, Ltd., 500 West Madison Street, 34th Floor, Chicago, Illinois, to receive suggestions from AABA members as to nominees for officers and new members of the Board. If you plan to appear or have someone nominate you, please put your intent in writing to: AABA Administrative Secretary Emily Riojas via email at eriojas@chicagobar.org, or fax at 312.554.9843, or regular mail to the AABA office address below, by 5:00 p.m. Tuesday, April 8, 2008. (Mail/Fax must be received by the deadline.) Those informing the Nominating Committee of their intent to run by that deadline shall have the opportunity to address AABA members at the General Meeting. Due to building security, YOU MUST RSVP prior to April 8, 2008. Candidates at their option may also submit a one-page candidate statement prior to Wednesday, April 16, 2008, which will accompany the mailing of the official ballot once approved by the Nominating Committee. The following positions will be open: VICE PRESIDENT/PRESIDENT-ELECT (1 year as VP followed by 1 year as President) SECRETARY (2 year term) TREASURER (2 year term) BOARD MEMBER (2 year term, 3 positions available): ** See below for descriptions of positions Under the By-Laws, the Vice-President/President-Elect shall automatically succeed to the Presidency. To be eligible to run, one must be a paid attorney-member of AABA. Other eligibility requirements may apply and shall be reviewed by the Committee. Any questions regarding eligibility or election rules should be addressed to the Committee. The Committee invites your participation in this important process. You may nominate yourself or any other member or members orally at the general meeting, or by writing to the Nominating Committee c/o Emily Riojas, as noted above. In the absence of the President or in the event of the President's inability or refusal to act, the Vice-President shall perform the duties of the President and when so acting, shall have all of the powers of and be subject to all the restrictions upon the President. Except in those instances in which the authority to execute is expressly delegated to another officer or agent of the Association or a different mode of execution is expressly prescribed by the Board of Directors or these Bylaws, the Vice President may execute for the Association any contracts, deeds, mortgages, bonds, or other instruments which the Board of Directors has authorized to be executed, and the Vice-President may accomplish such execution either under or without the seal of the Association and either individually or with the Secretary, or any other officer thereunto authorized by the Board of Directors, according to the requirements of the form of the instrument. Treasurer -- The Treasurer shall be the principal accounting and financial officer of the Association. The Treasurer shall: (a) have charge of and be responsible for the maintenance of adequate books of account for the Association; (b) have charge and custody of all funds and securities of the Association, and be responsible therefor, and for the receipt and disbursement thereof; and (c) perform all the duties incident to the office of Treasurer and such other duties as from time to time may be assigned to the Treasurer by the President or by the Board of Directors. Secretary -- The Secretary shall record the minutes of the meetings of the members and of the Board of Directors in one or more books provided for that purpose, see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law, be custodian of the corporate records and of the seal of the Association, keep a register of the post office address of each member which shall be furnished to the Secretary by such member, and perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to the Secretary by the President or by the Board of Directors. Board Member -- General Powers -- The affairs of the Association shall be managed by and under the direction of the Board of Directors. ********************************************************************
